SharpCut Pro -Terms and Conditions
By creating an account, purchasing a subscription plan, starting a trial, or using SharpCut™, you agree to these Terms and Conditions. If you do not agree, do not use the Service.
SharpCut™ is owned and operated by AM primaclasse CORP (EVOLV).
1) Accounts & Eligibility
- You must be at least 18 years old and legally capable of entering into a binding contract.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- Business account holders must ensure that all authorized users comply with these Terms.
- You agree to provide accurate and complete information when creating an account.
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
2) Plans, Billing & Renewals
Subscription Model
SharpCut™ is sold exclusively through subscription plans:
- TINT
- PPF
- PRO (TINT + PPF)
Plans are available as:
- Monthly subscriptions
- Annual subscriptions
Automatic Renewal
Subscriptions renew automatically at the end of each billing cycle unless canceled.
- You may cancel your subscription at any time within your account dashboard.
- Cancellation stops future charges.
- Access remains active until the end of the current paid billing cycle.
- Refunds are not provided for unused time or partial billing periods.
Fees & Payments
- Fees are displayed at checkout and may be subject to applicable taxes.
- Payments are processed by secure third-party payment providers.
- We do not store full credit card details.
- Failed payments may result in suspension of access.
Trials & Promotions
Free trials (such as a 5-day demo) or promotional offers automatically convert into paid subscriptions unless canceled before the trial period ends.
3) License & Acceptable Use
During your active subscription, we grant you a limited, non-exclusive, non-transferable license to use SharpCut™ for your internal business purposes.
You may not:
- Copy, resell, sublicense, rent, or distribute the software
- Share login credentials outside your organization
- Exceed the number of purchased seats
- Reverse engineer, decompile, modify, or bypass technical protections
- Scrape, bulk-export, or replicate template libraries
- Use the Service for unlawful purposes or to infringe third-party rights
Violation of these Terms may result in immediate suspension or termination without refund.
4) Content, Templates & Updates
SharpCut™ includes a synchronized library of cutting patterns and templates.
- Template availability may change without notice.
- Not all makes, models, years, or variants are guaranteed.
- You are responsible for verifying proper fitment and safe use before cutting.
- We may deploy automatic updates, patches, or modifications at any time.
Updates may alter functionality, improve accuracy, or adjust available features.
5) Hardware & Third-Party Services
SharpCut™ is designed to work with a wide range of cutting plotters. However:
- Compatibility may vary depending on hardware model, firmware, drivers, and user configuration.
- We do not guarantee universal compatibility.
The Service may integrate with third-party providers (e.g., payment processors, analytics tools, support platforms). These providers operate under their own terms and policies.
We are not responsible for third-party service interruptions or performance.
6) Intellectual Property
SharpCut™, including all software code, algorithms, template databases, documentation, graphics, and interfaces, is owned by AM primaclasse CORP and its licensors.
All intellectual property rights are reserved.
Vehicle brand names, logos, and trademarks appearing within templates are the property of their respective owners and are used strictly for identification purposes.
7) Support
Standard technical support is available to active subscribers through the channels listed on the website.
Support response times may vary depending on subscription plan and workload.
Premium or onboarding services, if offered, are subject to separate agreements.
8) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
To the maximum extent permitted by law, we disclaim all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free performance
We do not guarantee that:
- The software will function without interruption
- All templates will meet every specific job requirement
- The Service will be compatible with all devices or systems
Users assume full responsibility for verifying accuracy before cutting materials.
9) Limitation of Liability
To the maximum extent permitted by law:
EVOLV and its affiliates shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Lost profits, revenue, data, or goodwill
- Business interruption
- Material waste or installation errors
Our total liability for any claim related to the Service shall not exceed the total subscription fees paid by you during the 12 months preceding the claim.
10) Indemnification
You agree to indemnify and hold harmless EVOLV, its officers, employees, and affiliates from any claims, damages, or legal actions arising from:
- Misuse of the Service
- Violation of these Terms
- Infringement of third-party rights
- Violation of applicable laws
11) Termination
You may stop using the Service at any time.
We may suspend or terminate your access if:
- You breach these Terms
- You fail to pay subscription fees
- Your use presents legal or security risks
Upon termination:
- Your license immediately ends
- You must cease using the software
- Access to templates and updates will be disabled
12) Changes to Terms
We may update these Terms at any time.
The updated version will include a revised “Effective Date.” Continued use of the Service after updates constitutes acceptance of the revised Terms.
13) Governing Law & Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Venue and jurisdiction shall lie in the state or federal courts located in Broward County, Florida.
To the extent permitted by law, both parties waive the right to a jury trial.
14) Privacy
Your use of SharpCut™ is also subject to our Privacy Policy, available on the website, which explains what data we collect and how it is used.
